Deal Highlights
Investment Highlights
Acquired at an Attractive Basis: Governor's Pointe is being acquired at approximately $128 per square foot, representing an attractive basis relative to replacement cost. The favorable entry price may provide downside protection while creating potential for long-term value appreciation.
Stabilized Cash Flow: The two property office/flex industrial portfolio is projected to generate an approximately 8.3% Year 1 cap rate, delivering immediate cash flow following acquisition. Rather than relying on a heavy repositioning strategy, the business plan is centered on operating an already stabilized asset while pursuing targeted growth opportunities.
Diversified Tenant Base: The portfolio is leased to 20 tenants across a variety of industries, including government, healthcare, manufacturing, technology, fitness, and professional services. This diversification helps mitigate tenant concentration risk while supporting consistent cash flow generation.
Flexible Office/Flex Configuration: The portfolio includes five dock doors, 18 roll-up doors, adaptable suites, and attached parking. These characteristics meaningfully broaden the potential tenant pool as the spaces can be used for a larger array of tenants than is feasible at a traditional office building.
Operational Continuity: A key component of the investment thesis is that the existing property management team will remain in place following the acquisition. Having taken over the portfolio approximately six years ago out of receivership and subsequently stabilizing operations to what is now 94% occupancy, the team brings established tenant relationships, deep knowledge of the portfolio, and familiarity with day-to-day operations. The continuity of management is expected to facilitate a seamless transition and support tenant retention efforts.
Positioned in an Amenity-Rich Growth Corridor: Governor's Pointe is located within the Mason/Deerfield submarket, immediately adjacent to a concentration of restaurants, retail centers, and daily-use amenities that support tenant attraction and retention. Directly across the street from the portfolio, the $150 million District at Deerfield mixed-use development includes approximately 95,000 square feet of retail and restaurant space and 362 apartment units, further strengthening the area's live-work-play environment. Deerfield Township's strong employment base and lack of a local earnings tax continue to support business growth throughout the corridor.
Strategic Accessibility: The portfolio offers convenient access to Interstates 71, 75, and 275, providing connectivity to major employment centers throughout the Cincinnati metropolitan area. This accessibility supports tenant retention and enhances the portfolio’s appeal to a wide range of occupiers.

Risk of Investment

This investment is speculative, highly illiquid, and involves substantial risk. There can be no assurances that all or any of Sponsor’s assumptions, expectations, estimates, goals, hypothetical illustrations, or other aspects of Sponsor’s business plans (“Assumptions”) will be true or that actual performance will bear any relation to Sponsor’s Assumptions, and no guarantee or representation is made that Sponsor’s Assumptions will be achieved. If Sponsor does not achieve its Assumptions, your investment could be materially and adversely affected. A loss of part or all of the principal value of your investment may occur. You should not invest unless you can readily bear the consequences of such loss. Sponsor’s Assumptions should not be relied upon as the primary basis for your decision to invest.

Sponsor’s estimated rates and terms of the debt financing are subject to lender approval, and there is no assurance that the Sponsor will secure debt at the rates and terms presented on this Page or in the Sponsor’s Investment Documents, or at all. The use of borrowed money to acquire real estate is referred to as leveraging, which can amplify losses and could result in lender foreclosure. In addition, if the debt includes a variable (or “floating”) interest rate, the total amount of interest paid over the term of the debt will fluctuate and can increase. As a result, Sponsor’s use of debt can result in a loss of some or all of your investment.

In addition, the offering will not be registered under any state securities laws in reliance on exemptions from state registration. Such securities (your ownership interests) are subject to restrictions on transferability and resale and may not be transferred or resold except as permitted under applicable state and federal securities laws pursuant to registration or an available exemption. All Private Placements on the Platform are intended solely for “Accredited Investors,” as that term is defined in Rule 501(a) under the Securities Act.

Target IRR

Targeted performance metrics, including the target internal rate of return (“Target IRR”), target cash-on-cash return (“Target Cash-on-Cash”) and target equity multiple (“Target Equity Multiple” and collectively, the “Target Returns”) presented herein are hypothetical, are provided for illustrative purposes only, and do not constitute a prediction, projection, or guarantee of future performance. The Target Returns are based on a number of subjective assumptions, estimates, and forward-looking statements regarding future events, market conditions, strategy execution, and other factors that are inherently uncertain and beyond the control of the Sponsor. Actual results may differ materially from the Target Returns. The Target Returns are presented on a “net” basis, (i.e., they reflect the Sponsor fees, “promote,” taxes, transactions costs and other expenses reasonably expected to be borne by investors in the Offering). No representation or warranty, express or implied, is made by the Sponsor or any of its affiliates or representatives that the Target IRR, Target Cash-on-Cash or Target Equity Multiple will be achieved.
